Company Mergers, Acquisitions and Sales
A company merger, acquisition or sale is a multi-stage process that requires an individual legal and financial assessment. The applicable requirements, procedures and transaction timeline depend on the companies’ legal form (private limited company, public limited company, small partnership, etc.), the chosen transaction model (share sale, asset transfer or reorganisation), the ownership structure, existing liabilities and the nature of the business activities.
General information on the legal framework and specific procedures is available on the websites of the following institutions:
- The Ministry of the Economy and Innovation provides information on company law and the legislation governing different legal forms of business entities.
- The Centre of Registers provides information on the registration of the legal status of reorganisation, the deregistration of legal entities that cease to exist following reorganisation, and the submission of documents when the sole shareholder of a private or public limited company changes.
- The Competition Council provides information on merger control requirements that may apply to mergers and acquisitions. If a transaction meets the notification thresholds established by law, it must be notified to the Competition Council and receive clearance before implementation.
- The State Tax Inspectorate provides guidance on the tax implications of transactions. Information and consultation options are available on the State Tax Inspectorate’s website.
